Legal Assistant/Paralegal Duties: Prepare, organize and coordinate documents for merger and assets acquisition and divestiture transactions and financing transactions; assist with and perform due diligence tasks; assist with closings. Record real property instruments in various counties; organize and maintain records of such instruments. Assist with the drafting, preparation and filing of state and federal forms in connection asset transfers; interact with state and federal agencies. Assist with drafting and maintaining corporate, legal and governance documents, including formation of entities, drafting resolutions, filing annual reports and maintaining corporate minute books; interact with clients and state agencies. Maintain docketing calendar for corporate filings deadlines. Draft standardized agreements. Prepare and maintain indexes for client files, and closing books for clients. Conduct online legal and non-legal research, with the ability to analyze information and data. Complete administrative duties, such as word processing, proofreading, making copies and filing. Assist attorneys in other practice groups as needed (mainly litigation and title).
Requirements: 5+ years relevant experience working in a law firm or in-house legal department (prior law firm experience is a must). Foundation in corporate law. Must have strong organizational skills and be detail-oriented. Experience working with federal and/or state agencies is preferred. Oil and gas experience preferred. Proficient in Word, Excel and Worldox; experience using Simplifile a plus.
