Paralegal Duties: Prepare legal documents in all aspects of transactional law, including but not limited to, entity formation and organization, mergers, acquisitions, stock sales, and asset sales. Assist the attorney in reviewing and drafting written agreements for a variety of transactions. Preparing and filing corporate entity formation documents, including Articles of Organization / Incorporation, operating agreements, bylaws, partnership agreements, obtaining EINs and qualification in applicable state jurisdictions. Tracking the status of transactional documents and its progression. Preparing due diligence request lists; Working with clients on collecting due diligence information and materials and analyzing said documents to determine compliance with representations, warranties, and the transferability of instruments, federal and state permits / licenses; Collaborating with clients and aiding attorneys in consulting with opposing counsel to resolve issues that may negatively impact the timing of closing. Coordinating delivery and collection of signature pages from clients and other parties. Working on post-closing matters, such as transferring permits / licenses and preparing / organizing closing documents for distribution to all parties. Maintaining and updating client corporate minute books and other business entity records. Reviewing loan-related documents to determine collateral description for UCC-1 financing statements; Preparing, filing, amending, and terminating UCC liens. Researching real property records to determine property ownership easements and liens and recording real estate documents. Understanding forms and processes used by various federal and state agencies, including but not limited to the Internal Revenue Service, Hawaii's Department of Commerce and Consumer Affairs, Department of Labor, Department of Taxation, and California's Secretary of State. Examples of this include applying for 501 (3) tax-exemption status, Annual Business Report, BB-1, and Statement of Information. Familiarity with rules and regulations that apply to regulated industries, such as real estate, contractor, cosmetology, dentist, engineer, nursing, or pest control. Supporting attorneys and staff in marketing and business development efforts, such as drafting and proofreading educational materials, social media posts, and seminar presentation materials that the firm provides from time-to-time. Qualifications: Technical proficiency in Microsoft Outlook, Word, Excel, PowerPoint, and Office 365. Experience with CLIO Practice Management and client intake software. Familiarity, with social media platforms, ZOOM, and utilizing newer technologies. Highly organized and detail-oriented with an ability to prioritize and multi-task. Must exhibit a high degree of initiative in managing multiple priorities simultaneously in a fast-paced, deadline-driven, detail-oriented work environment. Utilizing excellent judgment, administrative abilities, and decision-making skills. Excellent interpersonal skills necessary to communicate in person, by e-mail, and telephone. Effectively follows instructions from a diverse group of clients, attorneys, and staff, and provides information with ordinary courtesy and tact. Knowledge of legal principles and practices. Ability to proofread typed material for contextual, grammatical, typographical or spelling errors. Ability to operate standard office equipment such as computer, photocopiers, fax machines. Maintain acceptable attendance record in accordance with firm policy.
