Estate Planning Paralegal The candidate's duties include: Project Management duties will include: coordination and management of new client processes. Drafting, revising and finalization of client presentations and packages. Coordination with paralegals and departments in timely delivery of client materials for presentations and packages. Entity Formation from start to finish for corporations, limited liability companies, limited partnerships and other types of legal entities, including but not limited to: entity name availability and registration, drafting and filing articles/state filing documents, bylaws, operating agreements, minutes, stock records, and other necessary documents applicable to entity type. Assisting with the establishment of bank accounts, coordination of transfer of assets into entities, preparation and filing applications for federal employer identification number, appropriate state tax registrations, elections and consents, applications for professional or special purpose entities, and appropriate Internal Revenue Service forms. Entity Maintenance will include, but is not limited to, maintenance of corporations, limited liability companies, limited partnerships and other types of legal entities, including but not limited to: entity record books, stockholder records, drafting amendments to articles/state filing documents, amendments to bylaws/operating agreements, documents necessary to qualify entity in foreign domicile or other jurisdictions, drafting and filing annual reports, filings to change officers, directors, and entity principles in local and foreign jurisdictions, UCC filings and statements and corporate trust instruments. Trust Maintenance will include, but is not limited to, coordination of transfer of assets into trusts, including bank accounts, stock transfers and real estate deeds, obtaining tax identification number for trusts, establishing or terminating trusts and appointing or substituting trustees, drafting schedule of allocations to trusts. Should have a Law Degree, Bachelor's degree, Paralegal Certification, or prior related paralegal experience; Requires strong computer and data entry skills; attention to detail; project management and follow-up from engagement to completion.
