Corporate Paralegal and Project Specialist Responsibilities: Prepare and track closing checklists, document and due diligence from letter of intent through completion of closing binders and post-closing obligations. Complete due diligence related to M&A and real estate transitions, and purchase and sale matters, including lien searches and summary reports. Draft organizational documents, resolutions, and board minutes; maintain organizational structure charts. Conduct title examinations and prepare title commitments, title insurance policies and title reports or opinions. Coordinate with title companies, surveyors and other interested parties. Manage intellectual property records and draft correspondence for trademarks and patents. Assist members of other firm practice groups, including litigation, on as needed basis. Requirements: Bachelor's degree and/or paralegal certificate required. Organized and able to manage and prioritize a variety of corporate and transactional matters. Technologically savvy with a high proficiency in MS Word, Outlook and Excel; has the ability and willingness to learn new technology and processes. People oriented A" enjoys interacting and communicating with a wide range of colleagues from across the firm and with clients from time to time. Achievement oriented A" enjoys taking on challenges while being proactive. Capable A" shows initiative and can be trusted to perform assigned tasks and duties.
