Corporate Paralegal Duties: Work with lawyers whose practice relates to lending, real estate, general commercial and special assets/workout matters. Generally the duties will involve commercial lending, corporate organizational matters, commercial transactions and various administrative matters. Prepare initial drafts of documents, closing checklists, closing statements and legal opinions. Prepare articles of incorporation, bylaws, minutes of organizational and annual meetings, stock certificates, records and resolutions. Prepare initial drafts of loan restructure and workout documents. Handle routine correspondence and maintain telephone contact with clients. Review background material relating to commercial loans. Assemble, coordinate and proofread documents. Undertake limited review of documents prepared by other counsel. Prepare UCCs for review by supervising lawyer(s); coordinate necessary filings. Coordinate execution and delivery of documents and closing transactions. Prepare status reports on pending and closed transactions. Organize and maintain form documents; update form documents as necessary. Coordinate receipt of, organize and conduct initial reviews of due diligence documents. Organize filing and photocopying. Handle accounting responsibilities. Assist with other duties as assigned. Qualifications: High School (or equivalent) required; college given preference. Preference given to experience in commercial lending and paralegal field. Real Estate, transactional, and corporate experience preferred. Knowledge of legal terminology and procedures. Knowledge of PC and Windows applications. Proficient in Microsoft Office products, including Word, Excel, Outlook and other Office 2010 products. Excellent verbal and written communication skills with an aptitude to interface with lawyers, clients and staff . Complexity of Decisions. Ability to meet deadlines and organize large quantities of information. Ability to work under pressure and in a timely manner. Ability to work unsupervised. Ability to work as part of a team. Detail orientated. Organization skills.
