Technology Transactions Attorney The candidate should have 2-5 years of experience in technology transactions, with an emphasis on intellectual property licensing and technology commercialization. Substantive experience with drafting and negotiating complex licensing agreements preferred, including agreements involving software and content licensing, partnering and distribution, application hosting, Web-based services, technology development, services agreements, and technology transfer relationships. This job does not involve intellectual property litigation or the prosecution/registration of any intellectual property but may include advising on transactional privacy and compliance matters, as well as open-source software counseling. Must also have the ability to manage and prioritize multiple projects, working both independently and as a member of a team in a high-energy environment that includes a high volume of deals for both emerging companies and established enterprises. Essential to this position are good analytical skills; creative, pragmatic problem-solving abilities in a transactional context; and efficient, precise drafting of customized agreements to meet specific client needs. Should have a desire to stay abreast of related legal developments and an ability to actively contribute to the practice group training environment. J.D. from an accredited law school, excellent academic credentials required. Bar membership in good standing; California bar a preferred. 2 years of demonstrable technology transactions experience within a law firm required.
