Get certified Ensure your resume details are correct before applying Job details Salary From $60,000 a year Job Type Full-time Number of hires for this role 2 Benefits Pulled from the full job description Health insurance Dental insurance 401(k) Vision insurance Full Job Description Responsibilities include, but are not limited to: Summarize matter/deal status and prepare reports for attorneys (for example, identify potential issues that need resolution, third party consents, etc.) Draft legal documents in all aspects of corporate/transactional law. (e.g., entity formation and reorganization, mergers & acquisition, intellectual property, financing/loans, etc.) Conduct research, investigate facts, and develop legal arguments. File documents with courts, government agencies and/or organizing bodies. Monitor and review transactional documents for the purpose of preparing and updating the checklist to track status of transactional documents and the progression the transaction. Utilize the client management software to upload, organize, and store all relative client material as per company policy. Prepare due diligence request lists as well as guiding and working with clients for the collection of due diligence information and materials. Draft disclosure schedules and ancillary documents for corporate acquisitions, mergers, reorganizations, and loan transactions. Coordinate delivery and collection of signature pages from clients as well as the delivery of such to all parties. Required Skills/Abilities: Minimum 4 years legal experience required. Paralegal certification preferred. Proficiency in Microsoft Outlook, Word and Excel. Highly organized and detail oriented with an ability to prioritize and multi-task. Excellent interpersonal skills necessary to communicate in person, by e-mail and telephone and to follow instruction effectively from a diverse group of clients, attorneys and staff and provide information with courtesy and tact. Knowledge of legal principles and practices. Ability to proofread typed material for contextual, grammatical, typographical or spelling errors. Solid foundation and understanding of legal principles and practices as well as corporate ethics issues. Able to maintain confidentiality.
