Corporate Paralegal/Legal Assistant The candidate will provide responsibilities include: File new business formation and dissolution documents. Obtain certificates of good standing. Complete and file SS-4 forms to obtain EINs. Assist with all aspects of deal closings. (i.e. signature pages, closing certificates, drafting of local, state and federal docs). Compile and maintain corporate minute books. Prepare and file qualification and withdrawal applications. Prepare stock certificates and resolutions. Prepare and submit statutory filings. Handle pre-closing, signature page distribution and closing of files. Order certified copies and certificates of good standing . Prepare and file UCC statements, amendments and termination statements. Compose closing checklists and manage post-closing assembly and execution of documents. The candidate must have knowledge of and familiarity with West law and Lexis programs, in addition to some knowledge of SEC filings is a plus. Must have experience in one or more of the following areas: Mergers and Acquisitions, Private Equity, Debt Finance, Asset Finance and Securitization, Private Funds, Investment Management. Must have 3+ years of corporate/transactional experience in providing exceptionally high quality service to clients. BA degree and paralegal certificate is preferred. Must have the ability to multitask and work independently. Must have excellent written and interpersonal skills, be able to communicate effectively, maintain strict confidentiality, and display a passion for delivering outstanding results and service on a consistent basis.
