Associate Attorney Responsibilities: Assisting executors and administrators of decedents estates with the discharge of their fiduciary duties, and drafting and submitting various petitions to the probate court. Counseling clients on various aspects of, and drafting documents relating to, estate planning, including wills, revocable and irrevocable trusts, insurance trusts, grantor retained trusts, charitable trusts and organizations, and family limited partnerships and limited liability companies. Performing income, estate and gift tax planning, asset protection planning and disability planning activities for clients. Coordinating the preparation of, and reviewing, federal estate tax returns and gift and generation skipping transfer tax returns. Drafting and negotiating prenuptial agreements and co-tenancy agreements. Developing elements of estate plans for executives and entrepreneurs that integrate partnership agreements,'s corporation trusts, buy-sell agreements, employment agreements and stock option plans. Providing day-to-day legal advice and assistance to business owners and operators on various issues related to commercial contracts and vendor agreements, business entity formations and governance. Draft and negotiate consulting agreements, employment agreements, stock membership redemption agreements, recapitalization and reorganization agreements, indemnification agreements, contribution agreements, settlement and releases, stock option plans, non-competition, non-solicitation and non-disclosure agreements. Draft and negotiate commercial real estate leases and contracts and counsel clients on structuring ownership and management of real estate holding companies and subsidiaries. Qualifications: Admitted to the Georgia Bar and in good standing. 2+ years of relevant experience related to the firm's practice areas or an LL.M. degree. Excellent writing and drafting skills. Strong negotiation skills, including the willingness and ability to reconcile differences and find mutual wins. Excellent speaking ability, including effective communication of complex ideas and information in straightforward terms. Extreme attention to detail and organization; and persistence and thoroughness in completing work tasks. Ability to identify and manage complex problems and review related information to develop and evaluate options and implement solutions. Adept at using logic and reasoning to identify strengths and weaknesses of alternative solutions, conclusions or approaches to problems. Outstanding dependability, cooperation, sense of integrity and initiative.
