Duties will include: drafting officer certificates, board and shareholder resolutions and side letters; conducting lien searches and preparing summaries; ordering and reviewing certificates of good standing and corporate charters; preparing UCC filings; drafting closing agendas and organizing closing documents; tracking and organizing signature pages; coordinating closing mechanics; preparing and delivering closing binders; and, assisting with Blue Sky filings. Duties may also include: entity formation; ongoing corporate maintenance; drafting board minutes; and maintaining minute books. A Bachelor's degree and 1+ year of experience as a corporate paralegal is required. Experience on both borrower and lender side of leveraged finance transactions preferred.
