Legal Secretary - Corporate Duties: Performs secretarial support, including composing legal documents, memos, correspondence, and other items of a confidential and complex nature to ensure accuracy and completion of assigned tasks as required by scheduled deadlines. Enters daily timekeeping information utilizing the Firm s technological resources. Proofreads all material produced by the Billing Department, corrects entries as needed or deemed appropriate by legal personnel, ensures timely return to the Billing Department for final processing. Prepares New Business Memorandum and coordinates with Business Intake Department regarding Conflicts Checks. Works with filing assistants ensuring timeliness and accuracy of all files. Assists filing assistants with preparation of closed files for warehouse storage. Heavy telephone interaction responding to non-routine and routine matters. Opens, reviews and sorts all incoming mail. Alerts legal personnel of deadline-sensitive materials or correspondence requiring immediate attention. Maintain calendar and coordinate both internal and external meetings. Coordinates projects to, and interacts with, all support departments on behalf of assigned legal personnel to ensure all projects are processed within prescribed deadlines, Reviews returned projects for accuracy and ensure all directions were followed. Greets clients and visitors when requested to do so by assigned legal personnel; escorts same to appropriate conference area. When requested, responsible for client communication via electronic mail. Attends trainings classes a minimum of 12 hours annually to maximize personal skills and use of technology provided by the Firm. Other responsibilities as assigned. Qualifications: Bachelor's degree preferred. 5+ years' Corporate legal secretarial experience required. Tax experience a plus. Basic computer skills required, with strong working knowledge of Microsoft Office Suite. Basic knowledge of Elite Enterprise, Chrome River and Adobe preferred. Types minimum of 50 WPM. Excellent verbal and written communication with strong proofreading skills. Possesses outstanding organizational and interpersonal skills. Highly efficient with great attention-to-detail and the ability to prioritize work and anticipate needs. Service-oriented attitude and the explicit ability to maintain strict confidentiality. Corporate Paralegal The candidate will work directly with the attorneys in the corporate and real estate practice areas and assist the corporate and real estate attorneys prepare and revise various types of transactional documents, including entity-formation documents, commercial contracts, and corporate and real estate transaction documents. Will be responsible for maintaining forms banks, organizing client files, scheduling meetings, calendaring critical deadlines, corresponding with clients, and performing related tasks. Will provide a critical support role to assist the attorneys meet client needs. Preparing initial drafts of documents from precedents, including entity-formation documents, corporate-transaction documents, commercial agreements, and public filings. Maintaining and organizing corporate minute books. Organizing transaction documents and due diligence materials in various kinds of corporate and real estate transactions, such as mergers and acquisitions. Researching corporate filing requirements for various jurisdictions. Analyzing documents and calendaring critical deadlines. Preparing execution copies of documents for signature. Preparing and organizing executed sets of transaction documents. Scheduling meetings and corresponding with clients. Assist the attorneys maintain corporate and real estate forms banks. Must have regular, reliable attendance in the office. May also be required to perform other duties as assigned. The candidate should have a Bachelor's degree or equivalent related work experience. At least 4 years of experience as a corporate paralegal is required. Experience using document-management systems, Microsoft Word, Microsoft Excel, and Adobe Acrobat.
