Preparing and editing Statements of Work, Service Level Agreements, Privacy Policies, and Terms of Service. Circulating documents for signature using e-signature platform. Preparing board and stockholder consents and minutes. Managing transaction closings. Preparing stock ownership statements, stock certificates, stock ledgers, and capitalization tables. Assisting with incorporations, financings, conversions, mergers, and acquisitions. With proven skill, the role is expected to grow to include increased responsibility and will require additional judgment and client interaction. Requirements: Bachelor's degree with either (i) a paralegal certificate and 2+ years experience in business, commercial, or corporate law, or (ii) 5+ years experience in business, commercial, or corporate law. Performing preliminary trademark searches. Drafting assignment documents for recordation and meeting country specific requirement (e.g., notarization and legalization of documents). Foreign/Madrid Protocol filings and maintenance. 5+ years of experience as a trademark paralegal. Knowledge of USPTO procedures is essential. Experience conducting trademark searches as well as U.S. and foreign filings is essential. Must have 2+ years of law firm experience.A Bachelor's Degree or Paralegal Certification is desirable. Strong attention to detail and expertise working with an extensive patent prosecution docket is essential. Exceptional client service focus is essential.
