Reviews investor subscription booklets and indexes into Access database and identifies follow up. Contacts investor regarding follow-up items relating to their subscription booklet. Creates and maintains Access database with revised investor information when updated documents arrive and generate reports. Generates and maintains status chart and generates reports. Maintains executed electronic copies of all governing fund agreements, resolutions, opinions, support certificates, fund tax forms, securities filings, etc.. Maintains electronic subscription booklets and related side letters on document management server. Updates subscription booklet materials with revised documents from investors. Updates closing checklist as new fund related documents and agreements are complete. Maintains closing files. Updates subscription booklets. Handles signature page distribution to client. Prepares closing notices including General Partner acceptance pages. Prepares support certificates. Obtains executed opinion. Orders certified copies and good standing certificates. Identifies and resolves problems that arise. Verifies General Partner acceptance pages and distributes closing notices to investors. Runs Blue Sky audit and coordinates with fund attorneys regarding required state securities filings. Prepares and distributes closing book materials for new investors. Prepares final closing book index and assemble and distributes and uploads closing book. Qualifications: Experience in one or more areas including M&A, private equity, debt finance, asset finance & securitization, private funds, investment management. 2+ years of corporate paralegal experience with a Bachelor's degree preferred. Legal Secretary - Intellectual Property The candidate will be answering incoming and placing outgoing calls. Will be creating, editing, and proofreading letters, legal documents, and memos in the relevant Microsoft Office application or document comparison software. Organizing and maintaining all correspondence and documents using the relevant / local document management system. Managing emails, calendar appointments, and client contact lists. Scheduling meetings and coordinating all logistics. Using internal library resources for external research as directed by timekeepers. Managing physical and electronic files, including intake, retention, retrieval, and transfer of records. Maintaining an organized and secured work station and filing areas. Running critical document checks to ensure all files have been saved as necessary. Importing electronic documents, including scanning documents into the document management system. Coordinating entering, editing, and tracking daily time recording when required for assigned timekeepers. Coordinating and preparing monthly client bills. Preparing check requests and expense reports. Opening files and conducting conflict checks. Coordinating, verifying, and obtaining all required approvals for all domestic and international travel arrangements with the firm s travel provider and assisting with processing the related business expense reimbursements. Assisting other practice assistants with overflow work and providing backup legal support during periods of annual or personal leave. Performing other relevant duties as directed by the immediate supervisor, including Practice Area Leader / Coordinator or Department Head administrative work, practice development initiatives, and project work. Working occasional overtime as required by practice / business needs. The candidate should have prior experience in a similar role within a medium to large law or professional services firm working for multiple timekeepers. Must have high proficiency in the use of Word, Outlook, Excel, and PowerPoint. Typing speed of 65+ wpm essential.
