Real Estate Paralegal Duties: Under the direction of the real estate attorneys, will assist attorneys in all aspects of commercial real estate transactions, including documentation, due diligence, closing and post-closing activities for real estate acquisitions, dispositions, finance, leasing, development and construction projects. Order and review title commitments, exception documents and surveys, interfacing directly with the title company and surveyor to resolve any issues or discrepancies. Preparation and administration of contract critical dates and closing checklists. Preparation of earnest money escrows and coordination of delivery of deposits. Coordination and assistance with all aspects of closings, including preparation of conveyance documents, closing statements, and other closing documents and obtaining transfer tax stamps, zoning certificates, duplicate tax bills, water certifications, condominium letters, certificates of insurance and payoff letters. Attending to all post-closing requirements, including preparation of closing indices, the preparation and organization of closing binders, and monitoring all post-closing deliveries or requirements. Preparation of clear and concise correspondence and memorandum. Preparation of initial draft documents, amendments to agreements or leases and miscellaneous documents, including estoppel certificates, for attorney review. Preparation of lease and loan abstracts. Review Planning and Zoning Reports. Preparation and filing of UCC financing statements, order UCC lien and other searches and prepare summaries of lien search results, and record documents in various counties and states. Requirements: Bachelor's degree and/or paralegal certificate. 5+ years' previous experience in commercial real estate transactions, including experience with acquisitions, dispositions, financing, leasing, construction and development, preferably at a law firm, although in-house experience will be considered. Notary public preferred. Knowledge of formation of entities and review and preparation of organizational and authority documents. Proficiency in Microsoft Office products, including Word, Excel, Outlook or similar e-mail/calendar technology. Knowledge of relevant databases. Strong writing, organizational and communication skills required. Extensive knowledge of grammar, spelling, punctuation and legal terminology. Familiarity with Carpe Diem or similar legal time keeping technology. Must possess excellent legal research skills, including knowledge of electronic databases. Paralegal, Corporate Advisory The candidate will be working for a leading international law firm with a diversified business practice representing commercial, industrial and financial enterprises both publicly and privately held. Will provide transactional and regulatory legal support to the attorneys in the Transactions practice group. This position works with clients to retrieve information, assist them with Firm tools and provide assistance with regulatory filings and during corporate transactions. Assist with drafting agreements and related closing documents and binder sets and/or CD s for real estate and corporate transactions. Attend and assist attorneys and clients with transactional closings. Organize closing documents and signature pages and notarize/coordinate with notaries. Assist with review of resolutions, amendments, restatements and related corporate documents in conjunction with borrowing entities. Review title commitments and work with title companies to resolve issues. Survey review experience and work with surveyors to resolve issues. Review of leases, preparation of lease abstracts, memorandum of leases, SNDA s and estoppel certificates. Preparation of deeds and transfer tax forms nationwide. Prepare documents to form new entities (Corporations, LLCs, LLPs, etc.) in any state and file all materials with the applicable the state department(s). Draft corporate filings such as resolutions, formation documents, bylaws, amendments, annual reports, etc. Prepare corporate minute books, stock certificates and transfer instruments. Draft financing statements, amendments, termination and other documents under the Uniform Commercial Code (UCC); perform state and federal UCC, lien, and litigation searches. Perform transactional & regulatory due diligence; create and manage electronic due diligence data rooms. The candidate should have a Bachelor's degree (or equivalent work experience). At least five (5) years of related work experience. Knowledge of Microsoft Office Suite (Excel, Outlook, PowerPoint, and Word). Strong written and verbal communication skills.
