Prepare annual minutes, license renewals, assumed name renewals, state trademark renewals; file online annual reports with each state. Coordinate with opposing counsel for corporate closing deliverables; obtain, deliver and track signatures, assemble final documents, and ensure post-closing tasks are accomplished. The candidate should have a Bachelor's degree and/or paralegal certification. Must have 5+ years of experience as a corporate paralegal in a law firm and/or corporate legal department. Experience with mergers and acquisitions; formation and incorporation of partnerships, limited liability and corporations essential. Experience with Corporate Focus along with setup and maintenance of extranet sites, a plus. Superior computer skills, using Microsoft Office Suite and Adobe essential.
