Paralegal (Finance) Duties: Draft loan documents and schedules for term loans, revolving loans, asset-based loans, real estate loans, lines of credit and unsecured facilities. Prepare for, assist with and attend closings and coordination of all post-closing requirements, including funding. Obtain, organize, review and summarize due diligence materials, including corporate status certificates and certified corporate documents, patent and trademark searches, and real estate title examinations and surveys, as well as preparation of necessary documentation to correct or clear title. Determine UCC/lien search locations, order UCC/lien searches and prepare and file UCC Financing Statements and any amendments thereto. Prepare and distribute closing binders. Proofreading and marking legal documents. Operate standard office equipment such as photocopiers, fax machines and personal computers. Maintain current and accurate daily time record. Perform special projects as assigned. Qualifications: Completion of a bachelor's degree and/or a paralegal certificate are required for consideration. 2+ years of prior paralegal experience in a corporate practice. Ability to work overtime and irregular hours as dictated by the Firm and client needs. High functioning knowledge of UCC filings and searches. Establish relationships and effectively liaise with clients and vendors on a regular basis. Ability to organize and prioritize numerous tasks and complete them under time constraints. Ability to concentrate and pay close attention to detail when evaluating legal matters. Ability to proofread typed material for contextual, grammatical, typographical or spelling errors. Interpersonal skills necessary in order to communicate and follow instructions effectively from the client, attorneys and staff and provide information with ordinary courtesy and tact. Apply knowledge of legal procedures, terminology, and activities to tasks. Apply understanding and knowledge of the litigation process from pretrial, through discovery, through trial preparation and appeal. Utilize and have sufficient competency in the various computerized litigation support software applications to manage all phases of electronic document collection, review, production and retention. Assist attorneys with appeals including compilation of the Record on Appeal and/or Joint Appendix. Assist attorneys with client reporting and communications. Attend and assist with depositions, witness interviews, hearings and trials. Assist attorneys with court filings and submissions (including e-filings). Must have knowledge of Microsoft Office Suite, Adobe, and Excel and litigation support applications such as Concordance, Relativity, IPRO, LiveNote, TextMap and Third Party platforms. Must have knowledge of legal research tools such as West law and LexisNexis. Must have blue booking and cite checking experience. Trial experience is preferred.
