Paralegal Duties: Under the general direction of supervising attorney(s) and according to established Firm policies and procedures, is responsible for providing paralegal support and assistance to attorneys in the coordination, management, and supervision of all aspects of real estate transactions including, UCC searches/preparation, review/analysis of property titles, surveys and documents of record, review/abstract leases, coordination of all aspects of real estate closings and preparation of initial drafts of transaction documents, closing files and closing books. Client billable hour requirement: 1,700 hours annually (142 client billable hours average per month). Draft programmatic transaction documents, closing checklists, prepare closing books and prepare/assemble documents under the supervision of the supervising attorney. Coordinate and assist with documentation for closing and post-closing requirements. Perform lien (including UCC) searches and prepare lien summaries. Prepare and review UCC Financing Statements, releases, assignments and transfers of assets. Perform due diligence and assist with document preparation for bond and loan originations, including loan file review. Review Zoning Reports. Review/analyze real estate titles, surveys, and documents of record. Review subordinate loan documents and regulatory agreements and prepare lease abstracts. Organize and maintain transactional files. Maintain up-to-date time reports to ensure accurate client billing. Coordinate contact with various third party vendors to comply with client's requirements. May supervise work performed by Legal Assistant. Carries out supervisory responsibilities in accordance with the Firms policies and applicable laws. Responsibilities include interviewing, training, and providing input into the performance appraisal process. Qualifications: Bachelor's degree and 2+ years' progressive work experience in the real estate or other transactional area preferably in a law firm environment; or equivalent combination of education and experience. Legal research knowledge and ability to use law library are required. Paralegal certificate from an ABA accredited paralegal program a plus. Computer proficient with experience and working knowledge of Westlaw and other real estate-related databases, Internet research, due diligence, Excel, Outlook, and MS Word preferred. Applicable knowledge and experience in title, survey and document of record review/analysis, UCC searches and preparation, and lease review, preparation and abstracting. Exhibit high degree of initiative with excellent analytical, technical, and critical-thinking skills requiring an aptitude for detail, precision, and logic in order to analyze and research real estate transactional data, process information, conduct legal research, and perform essential duties. Corporate Paralegal The candidate will assist with drafting agreements and related closing documents and binder sets and/or CDs for corporate transactions. Attend and assist attorneys and clients with transactional closings. Organize closing documents and signature pages and notarize/coordinate with notaries. Prepare corporate formation documents (Corporations, LLCs, LLPs, etc.), nationwide and file all materials with the applicable the state department(s). Draft corporate filings such as resolutions, bylaws, amendments, annual reports, etc. Prepare corporate minute books, stock certificates and transfer instruments. Draft financing statements, amendments, termination and other documents under the Uniform Commercial Code (UCC); perform state and federal UCC, lien, and litigation searches. Paralegal/Section Coordinator Duties: Under the general supervision of assigned attorneys, the Litigation Practice Manager and the Senior Litigation Practice Manager and following prescribed department, office and firm procedures, work primarily on specific cases/transactions, provide general assistance to a project team of attorneys, and/or to support attorneys whose practice involves specific areas of law. Under the supervision and direction of the Litigation Practice Manager and in conjunction with the Practice Group Leader, responsible for supporting the practice administration and operations needs of the assigned practice. Perform all responsibilities with a commitment to providing superior service to the firms clients, attorneys, advisors and staff while maintaining an atmosphere of teamwork and continuous improvement. Fulfill the needs of the firm in a manner which is consistent with the Firms visions and values. Conduct statutory, regulatory or factual research with respect to client matters. Such research might include investigation of federal or state laws and regulations, relevant markets, corporate participants and industry standards and practices. Participate in due diligence, privilege and other reviews of client records and files. Assist with organization of client materials and attorney work product, including use of databases, imaging systems and other computer-based technology. Maintain pleadings files and other case or project records; circulate materials to project team, as needed. Maintain chronological records of project activity. Arrange filings, mailings and service list deliveries with appropriate courts, government agencies and other parties. Under the supervision of an attorney, draft, edit, cite-check, conform and otherwise assist in the preparation of legal documents. Prepare binders of completed transactions. Obtain services from outside contractors, including court reporters, research services, exhibit preparation services, filing services and printers. Process billing and disbursement paperwork in connection with those services. Act as liaison for the project team with support departments and other offices of the firm, anticipating and assuming responsibility for special staffing needs, such as overtime, clerical and/or notary assistance. Assist Practice Group Leader and partners in the assignment of work to non-partner attorneys and paralegals based on capabilities, availability and developmental needs. Assist with coordination of attorney and paralegal evaluation and annual compensation adjustment processes for assigned practice, including completion of evaluation forms, submission of recommended compensation adjustments, and scheduling of debriefing meetings. Plan and arrange meetings and calls to include ad hoc meetings, monthly and other periodic conference calls, monthly partner meetings, and other practice events. Follow up with Practice Manager, Practice Group Leader and partners on initiatives arising from calls and meetings to ensure deliverables and goals are met. Prepare presentation materials as needed for Partner and Section Meetings. Establish strong rapport and working relationships with other administrative staff, as well as strong relationships with key attorneys within the practice. Foster and encourage a culture of superior client service, responsiveness and collegiality. REQUIREMENTS: Four year college degree required. Legal Assistant/Paralegal certification preferred. 3-5 years of general litigation experience required, preferably including trial experience. Ability to read, write and speak English. Commitment to maintaining confidentiality of all information, and adhering to the Firms Core Values. Substantive knowledge of and familiarity with specific areas of law, as required. Strong analytical and research skills. Thorough knowledge of MS Office applications including Word, Excel, Outlook and PowerPoint.
