Paralegal - Business & Banking/Real Estate Duties: Provides support to attorneys with the focus on business and real estate legal matters. Prepare and review legal documents including contracts, confidentiality agreements, stock certificates, stock ledgers, shareholder agreements, articles, lease agreements, assignments and bill of sale, and purchase/sale agreements, Monitor and ensure compliance with state, local and federal regulations, Prepare and file documentation including state tax and IRS forms, Prepare UCC searches and filings, Research and prepare documentation for the formation and maintenance of corporate, partnership, LLC, PLLC, Family Limited Partnerships, and not-for-profit, Prepare franchise tax searches, Prepare and track paperwork for mergers, acquisitions, dissolutions, amendments and withdrawals, Draft shareholder consents, proxies, corporate resolutions and related documents, Draft annual minutes of Directors and Shareholders, Maintain and organize minute books, Order necessary certificates from the Department of State, Prepare bankruptcy searches, Obtain employer identification numbers from the IRS. Qualifications: High School degree required; AAS degree preferred. Paralegal certification preferred. Notary Public license preferred. Understanding of commercial real estate transactions is a plus. Research and analytical skills. Critical thinking skills. Planning and organization of multiple projects. Ability to communicate effectively. Strong attention to detail and accuracy. Confidentiality and teamwork.
