Paralegal - Corporate / Transactional The candidate will be drafting formation and other corporate documents. Creating and distributing annual and other reports. Filing and obtaining employer and tax identification numbers. Research and analyze legal sources such as statutes, case law, legal articles, and regulatory sources. Communicate regularly with attorneys and clients regarding the status of projects and deadlines, and informs attorneys of any issues. Maintain and update corporate records. General correspondence. Maintain calendars as needed. General administrative duties as required. Other duties as reasonably required in pursuit of Firm and client interests. The candidate should have a Bachelor's degree and paralegal certification preferred. Minimum 5 years of transactional experience is preferred. A thorough understanding of general corporate housekeeping matters including creating and maintaining corporate documents, corporate filings, entity formation, entity dissolution, entity DBAs, and obtaining EINs. Must be capable of working independently and have the ability to manage multiple projects simultaneously. A high degree of organization. Excellent oral and written communication skills. Must be independently proficient with current MS Office Suite, case management systems and document repositories. Must be highly organized and be experienced in corporate/transactional law and recordkeeping to include entity formation, annual reporting, operating agreements, partnership agreements, corporate structuring, sales, mergers and acquisitions. Candidate should possess drive, energy, and high professional standards along with excellent written and verbal communication skills.
