Attorney - Transactional Duties: Advise clients towards best practices in corporate law, regulation and compliance by providing legal advice on corporate governance, policies, procedures, finances, intellectual property, employment, operations, and regulatory issues. Support and document entity formation, mergers and acquisitions, divestitures, joint ventures and other corporate transactional matters. Draft, maintain, negotiate and monitor all commercial agreements, strategic relationships and employee related agreements; advise on the litigation risks of possible business decisions. Counsel domestic and international franchise clients; including reviewing and understanding intricate regulations and statutes, managing demanding complex multi-faceted transactions, and drafting various franchise-related agreements and regulatory filings (e.g., franchise disclosure documents). Provide third party document reviews including Franchise Disclosure Documents (FDD) and real estate agreements; for which training is available. Qualifications: Juris Doctorate from a reputable U.S. law school and be a member of the Texas State Bar. 3+ years experience as an attorney practicing in a corporate transactions practice. 2+ years of relevant experience in franchise law is preferred. Experience with entity formation, corporate governance matters, contract review and general corporate matters. Experience with real estate transactions is considered. Strong written and verbal communications skills and public speaking experience is expected. Ability to read, analyze and summarize large quantities of written information, utilize legal reference materials and manipulate basic computer processing applications.
