Paralegal The candidate will organize business entities of all types (corporations, limited liability companies limited partnerships, etc). Prepare and file corporate documentation including but not limited to certificates of formation, articles of incorporation, bylaws, operating agreements, corporate resolutions, written actions, and deeds of donations. Assist with different types of legal matters and transactions by drafting, reviewing, editing, and submitting contracts, resolutions, IRS forms, regulatory and compliance documents, bank documents, and such other items as requested from time to time. Perform preliminary legal research, as well as some basic analysis and interpretation of US Federal and state laws and regulations. Manage workflow and project deadlines while working directly with partners, associates, clients and bankers. Assist with internal due diligence, internal compliance policies, client onboarding questionnaires, and forms. Create and send polished, error-free communications to internal and external parties, both electronically and through paper correspondence. Interact directly with clients ensuring professional and customer-service-oriented interactions. Provide support to Associates and Partners in various Firm practice areas. Coordinate billing requests with partners, such as preparing bills, sending invoices, and making follow-ups with clients. Keep files (both electronic and paper) organized and accessible to Partners and attorneys. Requires some flexibility in scheduling, such as the ability to work evenings and weekends to meet client deliverables. May require the ability to travel locally by car/public transportation. should have a bachelor's Degree; 3-5 years experience as a Legal Assistant or Paralegal; highly organized and detail-oriented with good judgment and a solutions-focused approach to challenges. Works well under pressure with the ability to juggle multiple priorities in strong written and verbal communication, as well as strong research, analytical, and time management skills; exercises independent thinking and critically analyzes problems to come up with solutions; aptitude for learning. Must be able to quickly understand new concepts and ideas and build on previous understanding. Flexible, collaborative team player, with a willingness to take on a variety of diverse projects. Fluent and professional Portuguese and English speakers are required.
