Senior Associate Attorney, Corporate Finance The candidate will perform complex legal research and analysis. Will structure and negotiate deals and prepare legal papers relating to banking and finance law, including senior, mezzanine and equity financing transactions and other structured products for large financial institutions and borrowers. Represent private equity sponsors, commercial and investment banks, asset managers, arrangers, underwriters, hedge funds, real estate investment trusts, public and private companies, and senior and mezzanine lenders. Provide legal advice regarding cross-border financing transactions (including US, UK, EU, Australia, and New Zealand) involving mergers and acquisitions, syndications, refinancings, debt reconstruction, asset-based financings, real estate financings, fund financings, dividend recapitalizations and divestitures, Rule 144A offerings, debtor-in-possession/distress company financing, and securitizations. Draft and negotiate legal documents, including complex financing documentation (including financing commitment letters, term sheets, credit agreements, indentures, note purchase agreements, subordination agreements, security agreements and guaranties, inter-creditor agreements, security instruments, legal opinions, and other ancillary corporate documentation). Advise on ISDA (International Swaps and Derivatives Association) Master Agreements. The candidate should have a J.D. degree and 3 years of experience in position offered or as Associate Attorney, Corporate Finance or Senior Associate, Banking and Finance Practice Group OR Bachelor of Laws and 5 years of post-Bachelor's progressive experience in position offered OR as Associate Attorney, Corporate Finance or Senior Associate, Banking and Finance Practice Group. Senior Corporate Paralegal Duties: Preparing and filing articles, certificates, organizational documents, agreements, resolutions and applications related to a variety of transactions related to incorporation/formation of corporations, partnerships and companies, assist with closing of mergers & acquisition transactions. Preparing and filing various federal and state forms including applications for licenses to operate specific Business/Corporate and applications for exemption for charitable organizations. Facilitate and assist with ongoing corporate governance matters including, preparing resolutions and minutes of directors and shareholders meetings and other miscellaneous corporate documents; maintaining annual corporate records and filings; and functioning as stock transfer agent in transferring stock of a corporation and maintaining list of stockholders; maintain capitalization records. Submitting filings under federal securities and state blue sky laws including drafting and filing Form D with the SEC and drafting and filing other documents required for selling securities in a particular state. Also, researching and preparing blue sky memoranda. Administer liquidations, dissolutions and withdrawals, including preparing resolutions of liquidations or dissolution; preparing and filing articles of dissolution or other required state forms to effect dissolution; preparing and filing state and federal tax liquidation or dissolution or withdrawal forms; and preparing documents in connection with the distribution of corporate assets. Qualifications: A certificate of completion of a paralegal program approved by the American Bar Association; A degree from a post-secondary institution with 24+ units in law-related courses accredited by a national or regional accrediting organization as required by State law; Completion of a four year college degree plus a 1+ year of law-related experience under the supervision of a licensed lawyer; or A high school diploma plus 3+ years of law-related experience under the supervision of a licensed lawyer. 5+ years of corporate paralegal experience working in a corporate legal department or law firm/professional services environment. Knowledge/expertise in incorporation and/or formation of corporations, partnerships and limited liability companies, foreign qualification application filing and applicable resolutions, and supporting mergers & acquisition transactions. Strong skills in Microsoft Word, Excel, Visio, eShares, HotDocs and Corporate Focus (with experience maintaining cap tables). A highly professional and positive demeanor and demonstrated work ethic including the willingness to take on extra tasks and responsibilities (including overtime) in order to meet client/firm needs.
