Transcribes dictation, minutes of meetings or taped records of conferences and meetings. Processes conflict checks and New Client/New Matter forms (KENI); enters attorney time (Carpe Diem); processes expense reports (Chrome River); receives, places, and screens telephone calls; schedules conference calls (Inter-Call); coordinates and schedules travel arrangements through web-based application; calendar management (Outlook Calendars). Conducts internet research as directed by attorneys. Interacts on a daily basis with departments within the Firm to facilitate highest possible legal support to assignments and clients, including Accounting (check requests); General Services (mail, FedEx, UPS, messengers); Conference Center (scheduling/arranging meetings and requested accommodations); Calendar Court Services; Reprographics Department; Digital Services, etc. Establishes and maintains paper and electronic files in compliance with current Firm policies utilizing the Firm s LegalKEY system and Document Management System. Provides assistance to other legal secretaries within assigned teams whenever necessary to meet Firm and client needs; organizes and prioritizes workload so as to most efficiently enable and facilitate team effort to accomplish Firm and client goals. Fosters professional, cooperative and supportive relationships with peers, superiors and clients. Anticipates and identifies clients /colleagues current and future needs. Shares information and offers ideas and solutions in a team environment. Exhibits professionalism by recognizing and adhering to all Firm policies, including attendance guidelines, dress code, security measures, and confidentiality requirements. Maintains positive, professional, courteous and flexible demeanor when dealing with clients and colleagues. Performs complex legal secretarial activities which may be highly confidential and sensitive, and require discretion and diplomacy. Reports directly to the Associate Director of Support Services. Prepares board resolutions, unanimous written consents, and board meeting minutes for routine corporate actions (e.g.: appointment of new or replacement officers or directors, amendments to certificates of incorporation or bylaws, and adoption of routine agreements). Handles stock issuances and transfers, including preparation and issuance of stock certificates, and maintaining stock transfer ledgers. Creates and maintain capitalization, stock option plan records, and corporate minute books. Assists with major corporate transactions, including mergers & acquisitions, reorganizations, capital markets transactions, and private equity / venture capital investments. Assists with due diligence efforts related to those transactions, including document retrieval and good standing certificate requests from Secretary of State offices in any US jurisdiction. Prepares certificates of merger acceptable for filing in any US jurisdiction related to those transactions. Maintains closing files for major corporate transactions including compiling closing sets, distribution of signature pages, and general assistance with transaction closings. Prepares and advises on routine annual filings required to maintain good standing status in any US jurisdiction. Orders, reviews and analyzes UCC, lien and judgment searches; prepares UCC-1s and UCC-3s for any US jurisdiction. Maintains confidentiality of client information, including potentially material non-public information regarding publicly traded company clients. Assists in the maintenance of practice group document libraries. Performs basic legal and factual corporate research using all available resources, including research on potential target companies. Assists at transaction closings, due diligence document reviews, and client meetings as requested. Provides direction and guidance to project assistants assigned to the corporate group. Requirements: Bachelor's degree. 2 years of increasingly responsible, directly related corporate practice/corporate paralegal experience (preferably in a major law firm environment) during which knowledge, skills and abilities applicable to the position were demonstrated. Corporate Paralegal Duties: Assist attorneys to prepare integral corporate documents/materials.
