Prepare and file qualification and withdrawal applications. Order lien searches and summarizes lien search results. Prepare and file statutory filings with Secretary of State, including amendments, conversions, mergers, and dissolutions. Calculate Delaware franchise tax (both methods); also calculate franchise tax for other jurisdictions. Obtain information from, and provide information to, clients. Formulate solutions to problems which may arise, such as good standing issues. Interface with corporate service providers regarding statutory registered agent services (including changing contact information). Provide direct support to clients (using discretion to handle matters directly or involving an attorney). Draft written consents approving closing agreements. Draft certificates including secretary and officer certificates. Prepare closing files. Handle distribution of signature pages. Order certified copies and good standing certificates. Handles stock issuances and transfers, including preparation and issuance of stock certificates, and maintaining stock transfer ledgers. Creates and maintain capitalization, stock option plan records, and corporate minute books. Assists with major corporate transactions, including mergers and acquisitions, reorganizations, capital markets transactions, and private equity/venture capital investments. Assists with due diligence efforts related to those transactions, including document retrieval and good standing certificate requests from Secretary of State offices in any US jurisdiction. Prepares certificates of merger acceptable for filing in any US jurisdiction related to those transactions. Maintains closing files for major corporate transactions including compiling closing sets, distribution of signature pages, and general assistance with transaction closings.
