Corporate Paralegal The candidate handles all aspects of the formation of entities, including preparing articles of incorporation/organization, bylaws, operating agreements, shareholders agreements, and other governing documents, stock/membership certificates, S corp elections, SS-4 forms, and related documents, and maintains corporate record books. Prepares Board/Shareholder/Member resolutions, minutes of meetings and other records of corporate proceedings. Coordinates the filing of corporate and other documents with governmental agencies. Assists with the preparation of legal documents such as commercial contracts, stock and asset purchase agreements, transactional documents for mergers and acquisitions, assignments, bills of sale, stock transfer documents, closing certificates and other closing documents for attorney review and approval, and use in transactions. Assists in coordinating closings including preparing closing critical dates memoranda, closing checklists, and closing documents, coordinating the delivery and execution of documents, and preparing closing binders. Handles our corporate maintenance program, including preparing annual board and shareholders resolutions, coordinating filing of annual reports and similar activities. Oversees practice area form files. The candidate should have high School diploma or general education degree (GED). Maintain Client Books: Update client Books with minutes of meetings, consents, etc.; also, when transactions close, update the client s minute book. Assist with phone calls, scanning projects, copy projects, respond to multiple interoffice email requests. Collaborate with a variety of team within the organization, including labor, securities, debt finance, and intellectual property. Drafting documents (including executive summaries, directives and company compliance policies, written consents and other corporate resolutions). State and federal filings for securities matters and real estate transactions. Drafts UCC financing statements and subsequent amendments, assignments, or terminations with appropriate state and local agencies. Indexing and organizing closing binders for closed financings; meeting with clients; preparation of engagement letters, conflict letters; audit opinion letters; location of historical documents and current documents; maintain office Inventory Lists CD, Closing Binders and Physical Files. Requirements: BA/BS degree and Paralegal Certification highly preferred. 5 years law firm experience as a paralegal or legal secretary, specifically corporate or real estate transactions experience. High level of professionalism and interpersonal skills so as to be able to work well with employees at all levels within the organization and maintain all information in the strictest of confidence.
