Part Time Paralegal - Corporate/Transactions The candidate will be working with lawyers to prepare and file documents required to form, maintain, and/or dissolve companies, such as corporations and limited liability companies. Collecting and organizing client and corporate information, tracking filing and renewal deadlines, and corresponding with third parties. Assisting lawyers prepare documentation for a variety of corporate transactions, from mergers and acquisitions to debt and equity financings. This may include preparing or drafting due diligence request lists, document data rooms, form agreements, and closing binders. Assisting lawyers prepare corporate governance documents, such as board minutes, board and/or shareholder resolutions, and equity grants. Creating and maintaining corporate records, such as minute books, cap tables, stock certificates, and stock option ledgers. Conducting legal research and analysis from time-to-time as needed, under the supervision and direction of lawyers. Developing systems and processes to streamline contract or transaction origination and completion. The candidate should preferably have 2-3 years of experience, a paralegal certificate and/or Bachelors degree, or a combination of experience and education. Excellent writing skills and computer skills including Microsoft Word and Excel, Adobe and DocuSign; experience with the USPTO system and industry software and applications is a plus. Paralegal Candidate will be working with the bankruptcy practice, the divorce and family law practice and the criminal law, DUI and traffic infraction practice. Primary responsibilities include working on existing files as well as fielding incoming calls, gathering new client information, and performing all intake functions. You must be able to effectively field and screen new intakes, set viable initial appointments, and then work effectively with clients throughout their case. Will include opening new case files and maintaining them, data entry, basic clerical, copying, interacting with the local courts over the phone, and light office management duties. Qualifications: Prior experience in any of practice areas is strongly preferred, but a solid work history in the legal or business field will be considered. Must have 1+ year of experience as a paralegal or in a legal support role. Preference given to those with bankruptcy experience inhandling4002 documents, preparing Chapter7 and 13 petitions, drafting motions, filing Notice of Appearances, Request for Discovery, Motion Drafting, and Family Software experience. Requires extensive phone and personal interaction with new clients, existing clients, opposing counsel, and the courts. You must be personable, friendly, and reliable with strong communication skills and enjoy client contact. Prior sales experience is also a plus. Computer skills should include a proficiency with MS office programs and experience with electronic court filing. Must take direction well and be able to work independently as well as part of team. Estate and Trust Administration Paralegal The candidate must have 5+ years of estate and trust administration legal experience. Knowledge of all aspects of estate and trust administration, including preparing and filing all probate court/estate administration documents is desired. Ability to manage a matter from start to finish, independently and as part of the team is desired. Excellent communication and writing skills is desired. Experience working with clients substantially as well as communicating with other professionals and court staff is desired. Familiarity with preparing annual and final accountings along with all supporting documents is desired. Knowledge of compiling tax information and preparing estate tax returns and gift tax returns is desired. Experience in drafting simple wills and other estate planning documents is a plus.
