Paralegal (Corporate) The candidate is responsible to provide assistance to lawyers by researching law, investigating facts, preparing and organizing documents and serving as a liaison among the legal team, clients, financial institutions, and outside agencies. Organizes business entities of all types (corporations, limited liability companies and limited partnerships); prepares incorporation documents including certificate/articles of incorporation, bylaws, restricted stock purchase agreements, organizational board and stockholder resolutions and related applications, filings and documentation; checks availability of and reserves corporate entity names; prepares and files incorporation, merger, acquisition, dissolution and related documents. Assists with due diligence process, including tracking diligence requests and reviewing capitalization tables and underlying equity issuances, certain documents related to corporate organizational matters (including incorporation documents, minutes and board and stockholder consents) and basic commercial contracts. Prepares closing deliverables (including secretary s certificates, bring-down certificates, stock powers and director and officer resignations), board and stockholder consents and closing volumes. Maintains, organizes and updates electronic corporate record books. Prepares, maintains and updates database for corporate capitalization records, drafts stock option and restricted stock agreements, effects transfers of stock and prepares stock certificates. Obtains and coordinates the delivery of good-standing certificates from filing agent. Assists with venture capital financings including tracking status of closing documents, gathering corporate due diligence materials, drafting ancillary documents and preparing electronic closing volumes. Retrieves documents from government agencies, private document retrieval companies and internal sources as appropriate. Researches state and federal securities compliance ("Blue Sky") rules and regulations, drafts and files securities notices. Provides support to IPO/ Public Company lawyers by assisting with the drafting and review of registration statements including but not limited to: Updating capitalization numbers (including outstanding stock and stock options); drafting related party transaction sections; and drafting principal stockholder tables including footnotes. Prepares beneficial ownership spreadsheets. Assembles and compiles exhibits and works with printer to format and finalize documents. Coordinates due diligence production with the Company including but not limited to: Assisting with data room setup and production; performing diligence audits of all stock and option issuances with board actions and stock/option documentation; Preparing necessary board, stockholder and committee actions and/or minutes; assist with distribution of D&O questionnaires and lock-up agreements; Manages Section 16 reporting matters. Assists attorneys with commercial lending transactions including lien searches and preparation/filing of UCC financing statements. The candidate must have previous experience in a law firm. Bachelor's Degree (B.A./B.S.) from an accredited college or university is needed. Graduation and certificate from ABA approved Paralegal training program or the equivalent is must. 5 or more years of experience in the areas of securities and/or general corporate law is required. Proficiency in Word and Excel is must. Excellent organizational skills are needed with attention to detail. Good interpersonal communication, analytical and problem solving skills are needed. Litigation Paralegal The candidate will be responsible to assist in all phases of a matter from case inception through trial or resolution. Assist with document collections, document reviews, and document productions. Coordinate management of case documents, including organization, review and production of documents. Consult with WSGRs internal eDiscovery team to manage document databases and coordinate electronic discovery proceedings. This is one of the largest firms in the State of California. We met a hiring authority of this firm for lunch recently, and because this individual did not know us, we were seated at the table next to them. We did not talk to them for over an hour of waiting time, until we discovered that the hostess had forgotten to seat us together, and had seated us a table apart. Needless to say, we both got a good laugh out of that. This firm is very strong in most of its practice areas, including litigation, labor and banking work. Some of the more distinguished litigators in the State of California call this firm their home. The management of this firm is also awfully good and has managed to stay small despite the proliferation of massive management committees at other large law firms. Associates at this firm also seem to fraternize together quite well. One recently held a "keg party" at his home for other associates and there was a large and enthusiastic turnout. This is a real quality of life law firm, and the people here seem to enjoy their lives both at and outside of work. Not surprisingly, a firm of this caliber is able to attract top attorneys of all backgrounds and has managed to remain fairly selective in its hiring. We also like the diversity of this firm and its people. Finally, we think the associates working here tend to be quite "chatty," and the partners even seem this way too. We like chatting because we talk on the phone for a living so this firm gets thumbs up from us. This is the ideal spot for bright, ambitious attorneys with solid work experience and outstanding academic achievements.
IP Paralegal The candidate will maintain client files, scheduling client meetings, preparing cost estimates and budgets, travel reservations, entering time, prompt submission of expense reports and vendor invoices. Proactively manage the prosecution docket ensuring all deadlines are met in a timely manner, and docket updates are communicated to the docketing team. Work closely with attorneys, technical specialists and patent agents to prepare and file US, PCT, and foreign patent applications and official correspondence using the Firm s standards and procedures. Official correspondence includes, but is not limited to, application data sheets, declarations, power of attorneys, assignments, IDSs, replies, amendments, issue fee payments, 92bis, extensions, change of address, etc. Prepare client reporting letters, foreign attorney instruction letters, CPI status and docket reports for attorney review. Communicate directly with clients, foreign attorneys, and USPTO under the direction of a patent attorney or agent. Double check work product before presenting to attorney for review and again before sending or filing. Ensure that client matter numbers are opened according to the IP Section s guidelines and before work is started. Timely review and forward annuity information to the annuity team, and send foreign attorney invoices to finance. Administrative tasks include, but are not limited to, maintaining client files, entering time, prompt submission of expense reports and vendor invoices. Experience working with CPI, FIP and/or First to File software is a plus. Record time daily and strive to meet billable target. Perform additional responsibilities as requested.
