Senior Investment Management Paralegal Duties: Participate as a team member and assist attorneys, paralegals and other members of the firm in the Investment Management practice group primarily with support of other practice groups as necessary. Availability for overtime and flexibility for travel are required. Assists with the drafting and shows high-level understanding of various regulatory and organizational fund documents such as registration statements, shareholder reports, and annual disclosure updates by creating prospectus or statement of additional information shells, risk matrices, or ancillary documents to accompany filings (facing sheets, Part Cs, etc.). Coordinates the filing of various regulatory and organizational fund documents, including review of printer proofs in a systematic way to include comparison against source documents, checks for comment incorporation, and review of table of contents, series/class identifiers, and section references. Takes lead in coordinating activities of client team participants and managing work flow to ensure deadlines are met.May serve as primary liaison with outside clients. Assists with fund launches and mergers and drafts initial formation documents and certificates based on previous models. Conducts research using the EDGAR database via the sec.gov general search engine and alternative search programs. Drafts, edits and prepares board meeting agendas, minutes and compilation of board materials. Actively mentors more junior paralegals and attorneys; recognizes different learning styles and adjusts method of instruction accordingly when supervising on projects; confirms comprehension by others of instruction. Assists in the creation of training materials and other resources for paralegal group and firm in their designated practice area. Performs other work-related duties as assigned by other corporate paralegals and other individuals within the corporate management structure. The candidate must have a Bachelor's degree or an associate s degree in paralegal studies who wants a career position. 7+ years' experience as a paralegal supporting investment management or mutual fund s is required. Significant contact with lawyers and paralegals at the firm and requires strong interpersonal and communication skills. Must be a demonstrated self-starter who is both highly organized and a team player. Must demonstrate the ability to maintain strict confidentiality of the firm s internal and personnel affairs. Ability to interact effectively with all levels of personnel, including management and support staff. Ability to be a proactive self-starter, who understands the details within a much larger context. Must be flexible in order to respond quickly and positively to shifting demands and opportunities; ability to work under tight deadlines and handle multiple, detailed tasks. Investment Funds Junior Paralegal Duties: Under the supervision and direction of a Paralegal, helps to manage and organize the materials and information relating to particular matters and transactions. Work with and assist legal staff in preparing for due diligence investigations, document productions and deal closings. The projects typically involve clerical duties and basic file organization tasks, and may require long hours and travel. Assists attorneys and legal staff with the preparation of documents necessary to comply with federal, state and local regulations in the conduct of business activities as well as: Assist with all closing matters: attend to post closing materials such as distribution of documents and original signature pages, prepare and organize documents, prepare and organize materials for shipment, create index and labels, assemble documents into tabs and create binders, create stock certificates and legends, deliver and pick up documents to and from various clients and law firms. In preparation for a closing: fill out foreign qualification applications, apply for Employer Identification Numbers from the IRS, order corporate documents, e.g. charters, bylaws, good standings. Keep track of all relevant documents and signature pages for the Attorneys and/or Paralegals. Draft simple documents such as stock certificates, powers of attorney, resignations and standard certificates and resolutions. Prepare and complete UCC search requests and compile information into UCC logs. General corporate housekeeping, e.g. maintenance of corporate minute books, franchise tax filings, annual meetings, preparation of board and stockholder minutes. Proofread, duplicate and scan documents to PDF, format and save to document management system. Conduct research on Westlaw, Live Edgar, and other databases. Perform clerical tasks as needed, e.g. make copies, create folder labels, prepare packages, write generic cover memos, etc. Commitment to work overtime as needed, which may be heavy at times, and may include weekends or holidays with potential to be for extended periods of time. Qualifications: A college graduate with a strong interest in the legal profession and corporate law with the ability to commit to the position for at least 2 years. Excellent oral and written communication skills are necessary with the ability to interact professionally with staff, attorneys, legal assistants, clients and vendors. The successful candidate must be able to work independently as well as with a team, have an acute attention to detail and the ability to multi-task and prioritize while working in a high pressure, deadline-driven environment. Strong technical skills are required, particularly Microsoft Word, Excel, Outlook, and a Document Management System; knowledge of Carpe Diem and Westlaw is a plus.
