Adequately compile and organize case materials and fill in missing document gaps for current assigned case litigations and arbitrations; compile relevant documents in databases and network drives to maintain an accessible case file. Employ various Firm resources, e.g. Livenote, Concordance, Sharepoint, LegalKey and shared network drives. Commitment to work nights and weekends, as needed; available to travel and be away from home for extended periods of time. Should be a college graduate with a strong interest in the legal profession and IP Litigation law. Excellent oral and written communication skills are necessary with the ability to interact professionally with staff, attorneys, legal assistants, clients and vendors. Strong technical skills are required, particularly Microsoft Word, Excel, Outlook, Adobe Acrobat, and a Document Management System; knowledge of Carpe Diem, Westlaw, Relativity, Campulaw, and Sharepoint is a plus. Resource Center Paralegal Duties: Responsible for specifically delegated substantive legal administrative and document-related tasks for which attorneys are responsible. Organize documents and coordinate document production including but not limited closing and pre-closing assistance (binders, signature packet prep, indexing); cross-referencing and page checks; research (internet research, SEC searches); proofreading; definitions checks. Maintain databases in accordance with requirements, assuring the ongoing ability to access, edit, research, and accurately report data as required. Maintain an accurate diary log of all work performed. Provide general support as needed for legal functions including word processing, producing of presentations, charts and proofreading documents. Scan and format documents, convert documents to/from different formats (e.g. Word, PDF), produce mail merge documents, create closing sets.Prepare document comparisons (Litera/redlines). Coordinate document printing and courier deliveries (fedex, UPS); and will perform internal or hand deliveries when required. Perform notary duties. Provide front desk coverage when required to convey. Work overtime or flexible schedule as required to meet deadlines and provide department coverage. Perform other duties as assigned. Qualifications: Bachelor's degree. Notary certification (must complete within 3 months of hire). Paralegal experience preferred. 2-4 years of relevant experience in a center-based environment . Corporate Paralegal RESPONSIBILITIES: Preparing and filing organizational documents, agreements, resolutions and applications related to formation of corporations, LLCs, partnerships, companies and in connection with various transactions including mergers and acquisitions, securities offerings, dispositions, incorporation/formation of entities, and financings, dispositions and other transactions related to those entities. Oversight of corporate data room including cap tables, option and restricted stock awards, board and shareholder resolutions. Facilitate ongoing corporate matters, including preparing minutes and consents of directors and shareholders actions and managing stockholder and capitalization records for clients. Organizing and maintaining electronic data rooms in support of M&A and securities transactions. Filings with IRS, including EIN applications, 83b elections and applications for exemption for charitable organizations. Submitting filings under federal securities and state blue sky laws including drafting and filing Form D with the SEC and state securities regulators. Also, researching and preparing blue sky memoranda. Preparing and filing other routine flings with SEC, including Forms 3 and 4. Administer liquidations, dissolutions and withdrawals, including preparing resolutions of liquidations or dissolution; preparing and filing articles of dissolution or other required state forms to effect dissolution; preparing and filing state and federal tax liquidation or dissolution or withdrawal forms; and preparing documents in connection with the distribution of corporate assets. Preparing audit inquiry response letters; obtaining apostilles; conducting UCC searches. Qualifications: College Degree preferred with 5 years of paralegal experience in the relevant subject area. High attention to detail and the ability to follow up on assignments in situations where there is little or no guidance, structure a system from minimal instruction and submit a flawless work product. Positive, flexible and committed attitude. A highly professional demeanor and demonstrated work ethic including the willingness to take on extra tasks and responsibilities (including overtime) in order to meet client/firm needs. The ability to express and articulate him/herself clearly, including use of proper grammar and appropriate vocabulary, as well as the ability to describe a set of facts or information in an organized, precise, clear and unambiguous fashion.
