Corporate Paralegal The candidate will assist attorneys to prepare integral corporate documents/materials. Will work with lawyers to prepare all documents required to form corporations (both business and not-for-profit corporations), partnerships and limited liability companies in any state. Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. Assist lawyers with the completion of stock certificates. Complete franchise tax forms for lawyer review. Create and maintain corporate minute books. Work directly with attorneys and clients during closings and corporate transactions. Provide lawyers with assistance in the preparation for and closing of various corporate transactions, including mergers and acquisitions and initial public offerings. Prepare audit letters for distribution to auditors and clients. Gather litigation and billing information to prepare draft responses to auditors' requests for information. Assist with federal and state securities filings. Work directly with lawyers to prepare transaction and disclosure documents and federal and state blue sky filings relating to securities offerings under the Securities Act of 1933 and schedules and reports required under the Securities Exchange Act of 1934. Prepare/conduct UCC Filings/Searches. Assist lawyers in the preparation and filing of UCC filings and handle UCC filing search requests in all states. Work with Internal Revenue Service. Assist with the completion and filing of SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies. Other tasks and projects as needed. The candidate must have Four (4) year college degree in any discipline. Must have 5+ years experience as a Corporate Paralegal; 10+ or greater years experience preferred. Degree or certificate in Paralegal Studies is a plus. Must have strong research and investigative skills. Must be proficient with the Microsoft Office Suite (Outlook, Word, Excel, etc.).mm strong computer and software skills (LexisNexis, Westlaw, etc.). Must have excellent organizational skills with strong attention to detail and the ability to prioritize and coordinate work. Must have excellent verbal and written communication skills. Must have familiarity with federal, state and local rules/filing procedures preferred. Possess strong interpersonal skills with ability to build strong relationships. Legal Secretary Duties: Create and update PowerPoint presentations. Proofread and edit other documents, including speeches, books, articles and online material for appropriate formatting, spelling and grammar. Manage special projects for Partners and Corporate leadership. Serve as a resource to the Firm s leadership and Corporate department by attending and assisting with minutes of meeting.Input, revise and finalize correspondence, audit letters, memoranda and other legal documents. Receive clients and visitors. Other duties and projects as assigned. Requirements: Bachelor's degree is a plus. 5+ years of law firm or professional services secretarial experience required. A strong knowledge of MS Office including PowerPoint and great project management skills. Ability to be creative, proactive and multi-task in a fast-paced, deadline-driven environment. Effectively communicate verbally and in writing, as appropriate for the needs of the audience (clients, governmental agencies, internal and external resources). Demonstrate strong time management and organizational skills. Familiarity with Carpe Diem, Chrome River, LegalKey, document management systems or similar technology preferred.
