Corporate Paralegal The candidate will assist attorneys to prepare integral corporate documents/materials. Will work with lawyers to prepare all documents required to form corporations (both business and not-for-profit corporations), partnerships and limited liability companies in any state. Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. Assist lawyers with the completion of stock certificates. Complete franchise tax forms for lawyer review. Create and maintain corporate minute books. Work directly with attorneys and clients during closings and corporate transactions. Provide lawyers with assistance in the preparation for and closing of various corporate transactions, including mergers and acquisitions and initial public offerings. Prepare audit letters for distribution to auditors and clients. Gather litigation and billing information to prepare draft responses to auditors' requests for information. Assist with federal and state securities filings. Work directly with lawyers to prepare transaction and disclosure documents and federal and state blue sky filings relating to securities offerings under the Securities Act of 1933 and schedules and reports required under the Securities Exchange Act of 1934. Prepare/conduct UCC Filings/Searches. Assist lawyers in the preparation and filing of UCC filings and handle UCC filing search requests in all states. Work with Internal Revenue Service. Assist with the completion and filing of SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies. Other tasks and projects as needed. The candidate must have Four (4) year college degree in any discipline. Must have 5+ years experience as a Corporate Paralegal; 10+ or greater years experience preferred. Degree or certificate in Paralegal Studies is a plus. Must have strong research and investigative skills. Must be proficient with the Microsoft Office Suite (Outlook, Word, Excel, etc.).mm strong computer and software skills (LexisNexis, Westlaw, etc.). Ability to independently exercise discretion and judgment. Ability to communicate effectively via telephone, in person or in writing and in a professional manner using tact and discretion. Perform proper legal file organization. General understanding and performance of proper law office ethics and confidentiality of all client matters and the firm relationship with clients (i.e., billing rates, billing cycles), non-public information relating to clients and files as well as the firm general business practices.
