Identifies causes of action and prepares lawsuits based upon an investigation of facts and applicable laws and procedures. Reviews, drafts, and/or dictates legal briefs, correspondence, pleadings, and other legal documents. Conducts discovery in conformity with applicable rules. Monitors routine case files to formulate next course of action and ensure deadlines are maintained. Assigns and reviews the work of department staff, as required. Acts in compliance with the Fair Debt Collection Practices Act, and other applicable consumer protection statutes and regulations. Develops and maintains relationships with current clients. Acts with the highest ethical standards both as a legal professional and as a member of the Firm. Actively promotes professionalism, collegiality and diversity within and outside the Firm. Requirements: JD Degree and 1-3 years of relevant experience or an equivalent combination of education, training, and experience. Must hold a current, valid state license to practice law in Illinois, a Wisconsin license is a plus. Creditors Rights or Collections experience preferred. Knowledge of relevant laws, legal codes, legal/court procedures, precedents, government regulations, and electronic legal research tools such as Westlaw. The ability to interpret and apply legal principles and procedures and develop effective working relationships with clients, co-workers, and court systems. Corporate Paralegal The candidate will assist attorneys to prepare integral corporate documents/materials. Will work with lawyers to prepare all documents required to form corporations (both business and not-for-profit corporations), partnerships and limited liability companies in any state. Assist lawyers in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and/or limited liability companies. Assist lawyers with the completion of stock certificates. Complete franchise tax forms for lawyer review. Create and maintain corporate minute books. Work directly with attorneys and clients during closings and corporate transactions. Provide lawyers with assistance in the preparation for and closing of various corporate transactions, including mergers and acquisitions and initial public offerings. Prepare audit letters for distribution to auditors and clients. Gather litigation and billing information to prepare draft responses to auditors' requests for information. Assist with federal and state securities filings. Work directly with lawyers to prepare transaction and disclosure documents and federal and state blue sky filings relating to securities offerings under the Securities Act of 1933 and schedules and reports required under the Securities Exchange Act of 1934. Prepare/conduct UCC Filings/Searches. Assist lawyers in the preparation and filing of UCC filings and handle UCC filing search requests in all states. Work with Internal Revenue Service. Assist with the completion and filing of SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies. Other tasks and projects as needed. The candidate must have Four (4) year college degree in any discipline. Must have 5+ years experience as a Corporate Paralegal; 10+ or greater years experience preferred. Degree or certificate in Paralegal Studies is a plus. Must have strong research and investigative skills. Must be proficient with the Microsoft Office Suite (Outlook, Word, Excel, etc.).mm strong computer and software skills (LexisNexis, Westlaw, etc.).
