Mid-level Corporate Paralegal The candidate will assist partners and/or associates in all corporate transactions (including mergers and acquisitions, asset purchase agreements and credit agreements). Will draft and file formation documents, maintain minutes books and related data tracking, prepare minutes, prepare foreign qualifications and track and perform other company maintenance functions. Prepare corporate certificates and provide appropriate documentation, make required filings, assist with closings, etc. Close document binders, archives of material agreements, letters sent to audit firms, D&O questionnaires for public companies, binder of publicly filed documents, etc. Assist in preparation of UCC financing statements. Qualifications: Bachelor's degree. 10 years' experience in a law office, with extensive paralegal managerial experience across multiple offices. Must demonstrate the ability to maintain strict confidentiality of the firm internal and personnel affairs. Must be a thought leader and demonstrate the ability to manage and solve complex problems, establish priorities and organize work. Ability to interact effectively with partners and associates and all levels of personnel, including management and support staff. Must have excellent supervisory and leadership skills and demonstrate willingness and ability to delegate, coach and mentor. Working knowledge of computer software applications and programs, such as Word, Excel, Outlook and Power Point in a web-based environment. Prepares for and attends depositions, hearings, trials and arbitrations. Understands database concepts and terminology. Assists and coordinates automated litigation support projects through utilization of technology, including, but not limited to, database management software (web repository or in-house) and Case Notebook. Analyzes and reviews various documents as required by lawyers.Prepares documents, such as statistical charts and graphs. Performs litigation due diligence searches, obtains docket sheets and other court papers utilizing electronic tools. Utilizes legal research software such as Westlaw and Lexis/Nexis for case retrieval and citation reference. Communicates, corresponds and interacts with clients and outside entities, such as government agencies, expert witnesses, corporations and other law firms to gather information or data. Complies with department and firm administrative procedures, policies and best practices. Assists with department projects as needed and performs other work-related duties as assigned by the Paralegal Manager. Responsible for billing a minimum of 1600 hours of client-related projects and other credited work. Qualifications: Bachelor's degree, 2+ years solid litigation experience and demonstrates knowledge and understanding of the litigation process and e-discovery. Significant contact with lawyers, paralegals and litigation technology professionals and requires strong interpersonal, verbal and written communication skills. Mmust be a self-starter, highly organized and a team player. Able to maintain strict confidentiality of the firm s internal and personnel affairs and client information. Understands ethics of position including ethical rules in regards to confidentiality, billing, and client representation and advocacy.
