Paralegal - Tax Candidate will be supporting International Tax and Structured Finance practice groups. Will be responsible assisting the International Corporate Reorganization team in Boston (and other offices as necessary) with the execution of Legal Micro-Step Plans. This would be generally based on precedents in any given jurisdiction regarding specific activities such as: the formation of holding companies, the contribution of shares in exchange for shares, the sale and purchase of shares, the distribution of shares as dividends, the settlement of debt instruments within group companies, the liquidation of entities worldwide, intangible property transfers, opening of branch offices, conversion of entities to different legal status, merger of entities within a jurisdiction, confirmation of financial statements, changes of directors and officers, and the drafting and authorization of board resolutions for entities located anywhere in the world. May further be required, in some cases, to assist in the drafting of the Legal Micro-Step Plan, preparing budgets for each of the countries and steps involved, and updating the Legal Micro-Step Plans on a regular basis, based on feedback from the client or the information provided by the attorneys worldwide. Will also be responsible for researching, preparing and filing documents and other materials to be filed with various government agencies, such as Articles of Incorporation/Organization, and annual accounts. Additional activities would include, managing data rooms and matter files, coordinating execution and delivery of documentation to other parties counsel, lenders, or governmental agencies, including closing documentation. Will also develop, monitor and update closing checklists or closing binders. Qualifications: Bachelor's degree and/or Paralegal Certificate. 4 years of Corporate Paralegal experience in a law firm, corporation, or professional services environment. Experience preparing and filing a variety of corporate legal documents (Articles of Incorporation/Organization, Amendments, state qualifications, consents, merger documents, closing binders, electronic closing sets, initial drafts or certificates, short-form closing deliverables, and filing annual reports). Detail-oriented and self-motivated. Proficient in Microsoft Word, Excel, Outlook, and PowerPoint. Strong attention to detail and ability to handle large volumes of work. Creates and implements case file and organizational systems for electronic and paper case files and workrooms. Prepares for and attends depositions, hearings, trials and arbitrations, as necessary. Coordinates automated litigation support projects through utilization of technology, including, database management software (web or in-house) and Case Notebook. Ability to manage utilization of litigation databases by case team. Compiles, reviews and analyzes documents as required by attorneys specific to case issues and determines necessary information. Delegates to, supervises and mentors junior paralegals, case assistants and temporary staff. Performs research (factual, legal, internet, and other) to identify issues and relevant matters and prepares compilation of findings. Assists with preparation of court filings including, but not limited to, fact checking legal briefs and assembling of exhibits and appendices. Understands mechanics of e-filing and e-files with courts and agencies. Communicates, corresponds and interacts with clients and outside entities, such as, government entities, expert witnesses, vendors, corporations and other law firms to gather information or data. Serves as factual resource on cases and demonstrates knowledge of case documents. Complies with department and firm administrative procedures and policies. Assists with department projects as needed and performs other work-related duties as assigned by the Paralegal Manager. Responsible for billing a minimum of 1600 hours of client-related projects and other credited work. Qualifications: Bachelor's degree and, 5+ years solid litigation experience, experience with database management software, and medium case collection, review and production experience. Must be able to demonstrate knowledge and understanding of the litigation process and e-discovery. Trial experience is a plus. Will have significant collaboration with lawyers, paralegals and litigation technology professionals and requires excellent interpersonal, verbal and written communication skills. Able to maintain strict confidentiality of the firm s internal and personnel affairs and client information. Understands ethics of position including ethical rules in regards to confidentiality, billing and client representation and advocacy. Collaborates effectively and professionally with clients and all levels of personnel, including attorneys, coworkers and administrators. Willingness to support matters at any level required whether it be as lead paralegal, deputy to a senior paralegal, or as a supporting member of the paralegal team.
