Corporate Paralegal The candidate provides support for all aspects of corporate matters managed by both Partners and Associates. Primary responsibilities lie in the areas of document handling, corporate records and management, and database management, including organizing materials for lawyers and clients related to client matters. The Corporate Paralegal works under the direct supervision of the attorneys in the specific practice area on a day to day basis. Should have Completion of either of the following: Bachelor's degree OR (a) Associate of Arts degree and not less than one year of in-house training as a Paralegal Assistant or Paralegal Intern, or (b) one to five years of law-related experience under the supervision of an attorney or Senior Paralegal, demonstrating a superior command of the skills necessary to be a Paralegal; and in addition to (a) or (b), Completion of an educational program for Paralegals that has been approved by the American Bar Association ("ABA") or offered by an accredited institution which is in substantial compliance with ABA guidelines for the approval of Paralegal programs is preferred. Should preferably have 5+ years Corporate Paralegal experience. Law Firm experience preferred. Proficiency in handling all aspects of a corporate entity. Preparation of officer certificates and closing documents related to business transactions. File formation documents, amendments, foreign qualifications, assumed names and dissolutions for business entities. Prepare and file FEIN applications and's Corporation elections with the IRS. Monitor and file state annual registration reports. Create consents and certificates for mergers, conversions and re-domestications. Prepare and file UCC financing statements and create and maintain UCC tickler systems. Conduct state document and lien searches and factual research. Prepare documentation for annual meetings of shareholders and board of directors and written consents in lieu of meetings. Create stock certificates and transfer powers and maintain stock certificate ledgers. Set up client databases in accordance with firm guidelines and manage and upload files. Obtain SEC filing codes and prepare and file Section 16 insider transaction reports and Regulation D reports with the SEC. Draft audit letter responses and updates in compliance with firm guidelines. Provide written and verbal communication with attorneys and clients in a timely manner. Delegate effectively and as appropriate to Legal Administrative Assistants. Act as a liaison among various internal departments as well as with outside agencies and corporate service company vendors. Meet billable hour requirement of 1550 per year. Time entry, scanning, emailing, etc. Assist in Firm marketing for practice area. Performs other duties as assigned. Should have Strong verbal and written communication skills.
