Attorney - Domestic and International Tax The candidate must have 3 years of experience: representing large finincial institutions & multinational public & private companies on tax matters in connection w/ domestic & cross-border M&A & financing transactions; advising clients on corporate restructurings, spin-offs, securities-for-debt exchanges & business separations, incl in areas such as subchapter C (incl section 367), subpart F income, PFIC, tax treaties & partnership tax; as well as structuring, drafting & negotiating tax provisions. Experience must incl advising clients on taxation of fin'l instruments, including debt & equity offerings, term & revolving credit facilities, convertible debt instruments, tenders or exchange offers & products w/ OID or CPDI concerns, as well as drafting disclosures & negotiating tax provisions. Must be licensed to practice law in NY.
