We do not need to tell you that as a very successful Arizona firm the people here do appear to work very hard and we hate to say it but we will: Many are working New York type hours. The firm also has been criticized in many respects for its lack of diversity; however, we do not believe that this is a serious problem because the firm's recent hires have all been very diverse in our opinion. The firm also receives very high scores for the treatment of associates by partners and there does appear to be a very good relationship here between associates and partners with associates feeling they are part of the mix to a great degree and respected by partners. Most associates at this firm would much rather stay with the firm than switch firms. In our book this is a good sign.
Paralegal The candidate support attorneys and paralegals in our Business Group. Working under the direction of Partners and Associates, this position will be responsible for providing a broad range of support to Business attorneys with tasks such as: Interaction with both emerging technology companies and well-established, iconic companies; Company formations and drafting of related founder documentation; Manage Board of Director and Stockholder actions and voting; Creation and maintenance of minute books, corporate records and stock ledgers; Maintenance of capitalization records and administration of option plans; Drafting of early stage financing documents; Assistance with closings for venture capital financings and mergers and acquisitions; Compiling PowerPoint presentations. Drafting corporate documents such as corporate resolutions, operating agreements and by-laws maintaining minute books, corporate records and stock ledgers; Preparing blue sky and other state and federal filings; Preparing UCC financing statements; Reviewing and summarizing the results of UCC and other lien searches and otherwise assisting with merger and acquisition, financing, and a limited number of real estate transactions. The candidate should have Bachelor's degree (or equivalent) along with previous, recent corporate paralegal experience in a mid to large size law firm. Paralegal certificate is a plus. Should have 5 years recent corporate/finance paralegal experience in a law firm. Must have strong technical skills, keen attention to detail and demonstrated initiative. Professional oral and written communication skills. Should have strong knowledge of New York and Delaware corporate filings needed to perform required tasks.
