Corporate / Tax Paralegal The candidate will be responsible for: Coordinate with six attorneys regarding dozens of pending projects. Maintain docket for the brownfield practice attorneys to schedule and manage: pending administrative agency audits (NYS Tax Dept) of brownfield tax credit claims; contested matters before NYS Tax Dept and administrative/judicial tribunals; other contested matters. Work closely with attorneys to download, classify, and maintain brownfield project information (administrative documents, accounting information and worksheets, client records, etc.). Includes document review, assembly of credit claim and audit response packages for large remediation and construction projects. Review Excel files relating to project cost detail, organization structure and credit flow-through. Drafting audit response correspondence and exhibits. Draft NYS tax forms and line item instructions to provide to clients and their accountants. Obtain, file, and maintain broad spectrum of administrative documents relating to the brownfield cleanup program (BCP); facilitate document transfers through Sharefile or other means; maintain and update documents in the Firm s document management system (iManage). Work with in-house staff to organize and maintain a comprehensive database of brownfield sites, BCP status information, site owners (clients and possible clients), co-counsel, consultants, and referral sources. Work with attorneys throughout the firm, and with clients, to form a variety of entities, including corporations (for-profit and not-for-profit), limited liability companies, limited partnerships, and other entities. Preparation and filing of formation documents. Completion of statutory procedures for organization. Drafting organization documents for attorney review (minutes/resolutions, by-laws, LLC operating agreements, stock/unit certificates etc.). Maintain and update entity records (stock transfer ledgers, minute book, corporate seal, etc); coordinate with records manager as to custody of record books, original documents and certificates, corporate seal, etc. Prepare and maintain records of corporate resolutions, certificates, and other documents relating to transactions involving ownership changes; corporate/entity action requiring authorization by directors/managers/owners, annual meetings; other items as directed by attorneys. Assist mergers and acquisitions attorneys with a variety of transactions: Organization and maintenance of due diligence records (physical and on-line as needed); Coordination and monitoring of transaction data rooms ; Organization and review of due diligence materials as instructed by attorneys; Prepare and maintain/update transaction checklists; Coordinate document preparation, assembly, and other closing logistics; track and prepare post-closing items (follow up certifications, closing binders, etc. Must have Degree in accounting/finance and/or related work experience; experience with Microsoft Office suite (Word, Excel, Powerpoint, Access). Prior corporate/tax paralegal experience required.
