Corporate Paralegal Responsibilities: Develop physical and virtual data rooms; manage data in the firms environment and in related applications. Manage corporate services vendors, post-completion billing and vendor invoice management. Draft transactional documents. Prepare and file various UCC financing statements. Order good standing certifications and certified charters. Manage, review and organize due diligence materials. Prepare and submit Forms 8821 and W-9 to IRS. Assemble fully executed closing documents; oversee preparation of closing sets. Manage post-closing matters in the post-closing database. Prepare withdrawal and qualification documents in accordance with all state, local and federal laws. Prepare stock certificates, legends and backing sheets. Draft shareholder and board consents. Draft and file amendment certificates. Prepare and draft merger or purchase agreements. Draft subscription agreements, stock certificates, stock powers and related documents. Prepare Forms SS-4 and apply for Employer ID Numbers. Coordinate execution of consent forms for using service companies as Registered Agent. Interface with the Corporate Maintenance Team to transition annual maintenance projects, documents and other materials post-closing. Qualifications: BA or equivalent; ABA-approved paralegal certification preferred. 3-5 years paralegal or transactional and corporate/securities-related experience. Strong research and writing skills. Flexibly to work overtime. Ability to work independently and multi-task on time-sensitive projects.
