Corporate Paralegal The candidate will manage closing process under supervision of attorneys. Obtain Certificates of Good Standing. Serve as lead team member responsible for the drafting and handling of all audit letter responses. Draft Board/Shareholder/Manager/Member/Limited Partnership Consents, Secretary s Certificates, Officer s Certificates, Incorporation/Formation documents, including stock certificates and ledgers, Qualifications, Reinstatements and Withdrawal forms. Draft and file DBA s and handle publications. Minute book upkeep and creation include information lists. Manage regulatory compliances, including Annual Reports and Annual Consents. Obtain tax ID numbers from the IRS. Assist attorneys with closing binder. Review and prepare document productions. Prepare, review, file and search UCC financing statements and other corporate documents. Assist in organizing documentation, compiling signature page packets and coordinating all aspects of closing a transaction. Prepare and file all documents necessary for setting up the business entity determined appropriate by the responsible attorney. Assist with and draft necessary documents for mergers and acquisitions and reorganizations. Assist with and drafts necessary documents for franchise registrations, renewals and amendments with state agencies. Communicate with clients and assist responsible attorney in evaluating and analyzing needs related to corporate governance and economic development or to the client's business structure. Assist in legal research and keep current on all laws and regulations to ensure compliance by the corporate or business client. Experience with federal and state franchise law compliance and public finance work is preferred but not required. Familiar with all forms of business entities including close corporations, Subchapter S corporations and limited liability companies. Prepare and file BE-13 Claim for Exemption forms. Other duties/tasks as assigned. High School diploma (or equivalent) degree is required. Bachelor's Degree is preferred. Should have 3+ years of experience as a corporate paralegal. Experience in the legal industry is required.
