Corporate Paralegal The candidate will provide administrative support to several attorneys across multiple office locations and will interact with external clients as well as internal support staff. Will work a regular schedule as determined by the Office Administrator/HR and/or the assigned attorneys. Prepare and file UCCs, and federal and state securities filings; prepare SS-4s, S-Elections, 1023s, 8832s IRS filings. Prepare corporate and deal documents for S-corporations, C-corporations, nonprofit organizations, limited liability companies, partnerships, and community associations. Administer and prepare documents to effect formations, qualifications, amendments, dissolutions and withdrawals, liquidations. Prepare documents for mergers, conversions, and stock reorganizations, as well as stock powers, subscriptions, agreements, redemptions. Prepare and file articles, certificates, organizational documents, agreements, resolutions and ancillary documents related to diverse transactions, and mergers and acquisitions, including corporate due diligence. Prepare annual minutes, license renewals, assumed name renewals, state trademark renewals; file online annual reports with each state. Coordinate with opposing counsel for corporate closing deliverables; obtain, deliver and track signatures, assemble final documents, and ensure post-closing tasks are accomplished. The candidate should have a Bachelor's degree and/or paralegal certification. Must have 5+ years of experience as a corporate paralegal in a law firm and/or corporate legal department. Experience with mergers and acquisitions; formation and incorporation of partnerships, limited liability and corporations essential. Experience with Corporate Focus along with setup and maintenance of extranet sites, a plus. Superior computer skills, using Microsoft Office Suite and Adobe essential. Exceptional interpersonal and customer service skills needed. Excellent written and oral communication skills essential.
