Corporate Paralegal The candidate will assist with transaction closings; maintain files, create closing indices and coordinate closing details. Draft and file UCC financing statements and amendments. Conduct due diligence investigations, on-line research of legal and non-legal data, Maintain correspondence with clients. Responsible for departmental billing. Maintain and organize document data bases on firm intranet. Assist with corporate formation and dissolution in various jurisdictions; complete and file annual state tax forms. Prepare binders and CD closing sets of completed transactions. Proofread documents, including definitions and cross-reference checks. Organize files using different databases. Bachelor's degree required. 5+ years of paralegal experience are required. Ability to work overtime as required. Enthusiastic, pro-active, self-motivated, flexible are required.. Able to work autonomously in a small office with an entrepreneurial culture are required. Flexibility to learn new processes and approaches are required. Strong attention to detail with exceptional organizational skills are required. Ability to prioritize tasks are required. Ability to create a friendly and professional rapport with attorneys, staff and external parties are required. Ability to maintain confidentiality of sensitive matters and respond effectively to such situations are required. Decisive, maturity of judgment are required. Strong organizational skills, excellent attention to detail, efficient are required. Knowledge of research databases, including Lexis and Westlaw are required. Strong proofreading ability, excellent attention to detail are required.
