Senior Corporate Paralegal The candidate will be critical part of firm's client service teams, working side by side with lawyers, co-counsel, and clients on an array of substantive client matters. Will be responsible for preparing and filing Certificates of Incorporation / Organization, state qualifications, and organizational and related documents. In addition, will file Amendments, prepare merger documents, conduct UCC searches and filings, and prepare and file annual reports in states where corporations are incorporated and/or qualified to do business. Also be responsible for blue sky research and filings for private placements, manage stock ledgers and maintain capitalization tables. Will be responsible for updating company files, preparing legal contracts and closing documents, reviewing transactional documents, and assisting with company compliance issues. Should have Bachelor's Degree and/or Paralegal Certificate. Must have 6 years experience as a Corporate paralegal. Experience with entity formation and qualification is required. Experience with transactional closings is required. Strong organization skills and attention to detail are required. Strong skills in Microsoft Word, Excel, and Outlook are required. Preferred experience: Emerging Growth and Venture Capital experience; Large firm experience; Private and public company experience; Experience with electronic ownership and equity management platforms such as Carta and Shareworks; Experience with DocuSign or similar technology.
