Fund Formation Associate The candidate should have 2+ years of experience in fund formation for private equity & venture capital sponsors and their investors. The ideal candidate should have experience working on fund formation engagements, including drafting and negotiations of limited partnership agreements, subscription agreements and side letter agreements; legal review and completion of private placement memoranda; drafting general partner and management company arrangements; regulatory compliance matters for private equity and venture capital firms; and all other documents and processes relevant to fund formation transactions and private equity and venture capital firm clients. Should have knowledge of the Securities Act, the Investment Company Act and the Investment Advisers Act, as these laws and their related rules apply to private equity and venture capital funds. Should also possesses excellent professional judgment and a strong work ethic, is highly motivated to provide exceptional client service and values the opportunity for personal and professional growth in a collaborative environment. Large firm experience preferred.
