Corporate Commercial Attorney The candidate will provide high-level guidance and innovative solutions to clients on a broad array of commercial matters. Will prepare and review commercial agreements and related documentation. Proactively manage all regulatory, risk and compliance matters. Draft, review and negotiate contracts. Effectively act as a trusted advisor to clients. The candidate should have JD degree with high academic achievement. Should have 3+ years of sophisticated experience negotiating and documenting commercial agreements, including software and patent license agreements, manufacturing agreements, distribution or VAR agreements or similar commercial contracts. Should have 2-4 years of successful experience with a large firm, handling all aspects of corporate work, including commercial agreements, licenses and similar agreements. Extra plus for expertise in data privacy issues, online terms of use and privacy policies, trademarks, or biotech (i.e, sponsored research and the like) agreements as well as experience with more general corporate work, including M&A and venture capital transactions. Should be Member of MA Bar. Knowledge of federal and state securities laws needed.
