Experienced Fund Formation Attorney The candidate will be responsible for working independently or with senior lawyers in the structuring and formation of sophisticated private investment funds, including venture capital, private equity, hedge, real estate and other similar funds. Should have substantial experience advising clients in private investment fund formation. Should have 3+ years experience working on forming private investment funds, including drafting organizational documents for funds, general partners and management companies. Experience with relevant corporate, partnership and LLC laws required. Should have ability to work collaboratively as well as independently. Ability to handle a variety of matters simultaneously to meet client demands required. Excellent research, drafting, writing, communication and interpersonal skills are required. Washington State Bar membership or willingness to obtain preferred. Experience with relevant Securities Act exemptions, Investment Company Act, Investment Advisors Act, and related state laws and regulations preferred. Experience working on VC investments or M&A transactions preferred. Understanding of partnership taxation issues relevant to funds and structuring for foreign and tax-exempt investors desired. Experience drafting and negotiating side letters with the firm and experience representing firm in investment reviews preferred.
