Corporate Paralegal Duties: Assist with transaction closings; maintain files, create closing indices and coordinate closing details. Assist with maintaining checklists, including closing checklists, state good standings, etc. Draft and file UCC financing statements and amendments. Coordinate state filings and good standings. Conduct due diligence investigations, on-line research of legal and non-legal data. Maintain correspondence with clients. Responsible for departmental billing. Maintain and organize document data bases on firm intranet (VDRs). Assist with corporate formation and dissolution in various jurisdictions; complete and file annual state tax forms. Prepare binders and CD closing sets of completed transactions. Proofread documents, including definitions and cross-reference checks.
Qualifications: Bachelor's degree required. 0-1 year experience. Enthusiastic, pro-active, self-motivated, flexible. Ability to multi-task and prioritize in a fast-paced environment. Decisive, maturity of judgment. Strong organizational skills, excellent attention to detail, efficient. Strong proofreading ability, excellent attention to detail.
