Corporate Paralegal Assistant Duties: Type correspondence and other documents, including letters, memoranda, forms, and meeting agendas/notes from dictation or written copy, for attorneys and paralegals; proofread documents and read for logic. Filing, photocopying, pending files, etc. as required. Creation and maintenance of corporate and LLC minute books. Preparation and filing of state annual reports. Preparation of annual consents electing directors and officers. Preparation of closing documents exhibits. Ordering of state documents for closing. Review statements of registered agents for payment approval. Work with attorneys and paralegals to continually update and revise guidelines and questionnaires relating to incorporation in various states and tax registrations in various states. Perform other duties/projects as assigned. Back-up to other secretaries and reception, as needed. Perform other duties/projects as assigned. Qualifications: High school diploma required; Associates Degree or Bachelor's Degree preferred. Paralegal Assistant or legal support experience strongly preferred. 3+ years experience or equivalent. Background in Corporate is a plus. Proficient in Microsoft Office. Excellent business writing, editing and proofreading skills. Strong organization, document management and prioritization skills. Detail oriented and ability to multi-task. Familiarity with corporate service vendors and government agencies to obtain certified documents. Familiarity with state and local rules/filing procedures strongly preferred. Excellent interpersonal and communication skills. Must be able to work independently in a fast-paced practice area.
