Corporate Paralegal The candidate will work directly with attorneys and clients in connection with corporate transactions. Organize mergers and acquisition transactions, including checklist preparation and monitoring and ancillary document preparation. Preparing, editing, and filing various corporate documents. Review and analysis of records, Manage business closings from beginning to end. Assist with the formation of entities, including preparation of entity organizational documents such as formation certificates, tax forms, operating agreements, board resolutions. Maintain client confidentiality at all times. Consistent and Punctual Attendance. Adapts well to fluctuations in workload and changes in responsibilities. Maintain a professional demeanor in high-stress situations. Concise and accurate verbal and written communications. Contribute to an atmosphere of teamwork and congeniality. Follow instructions, complete tasks on time; follow through. Act as resource for clients, attorneys, and paralegals, or other third parties in connection with requests for client entity information or documents. Should have experience with 5+ years of relevant experience; heavy document management experience. Flexibility and willingness to pitch in wherever needed.
