Legal Assistant/Paralegal Duties: Open, review, modify and close contracts from beginning to end, negotiate and communicate with agents and clients to successfully close. Work on both Pre-closing and Post-closing files, draft and arrange for UCC fillings, amendments extensions and terminations. Obtain closing figures from banks and pro-rated all closing figures, disburse funds, ensured file is balanced; send Original documents to the Court s real estate record departments. Coordinated office handling of title insurance claims for clients. Create and maintain strong working relationships with brokers, surveyors and development managers from the pre-development phase throughout the development and lot sales process. Analyze and draft purchase and sale agreements, easements, restrictions, deeds and other documents typically associated with real estate transactions. Analyzed title reports, title exceptions, surveys, boundary line adjustments and plats, and recommended revisions as necessary. Prepare preliminary opinions, order title binders, payoffs and homeowners insurance information. Prepare legal documents for both real estate and commercial transactions as needed for the closing. Maintain all incoming funds and complete all outgoing disbursements, trust account reconciliation. Composed correspondence and build and maintain Excel spreadsheets, order estoppel certificates. Prepare and review closing binders and title insurance policies. Schedule hearings, mediation Case Management Conferences with Clerk and Opposing Counsel. Complete Paralegal review of file, draft Case Brief for attorney review. Research applicable case law. Review loss mitigation and non-retention files to determine file status and next course of action and negotiate possible resolution. Maintain client contact through phone calls, emails, faxes, and scheduled office meetings. Responsible for attorney calendar. Trial preparation and Post Judgment file maintenance including closing file and client disengagement letters. Filing appeals and appellate procedures. Help with negotiation settlement options on behalf of client. Draft pleadings from case initiation Complaint, Amended Complaint, Summons, Discovery and Responses to Discovery Requests through Final Judgment and Post Trial maintenance including closing files and client disengagement letters. Areas of Law: Civil Litigation, Foreclosure. Evaluate claims, conduct research, and draft status reports to clients throughout all phases of litigation Evictions Prepare written discovery requests and coordinate document production Review and analyze medical, employment and educational records and draft memorandum regarding same; very little PI work but need knowledge - Jury trial knowledge would also be a plus Draft discovery motions including for court orders and to compel production of pertinent documents in a variety of jurisdictions including, Hillsborough, Polk, Citrus, Pinellas and U.S. District Court. Review depositions and draft summaries of transcripts for use in trial preparation and settlement negotiation. Case load is probably no more than 20-30 active files for litigation and 5-10 closings a month for real estate. Qualifications: 5 years' experience with 1031 Exchanges. Knowledge of Family Law would also be a plus. Must have extensive experience with these things and be able to handle it all from A to Z. Be a liaison between attorneys, clients, loan officers, closing agents, sales brokers, title insurance companies, surveyors and appraisers during the due diligence process; need to be totally up to date on all the new guidelines for residential closings. Be able to prepare HUD-1 settlement statements for closings and deed packages, order and review title commitments and lien searches (we use Doubletime). Efficiently conduct closings for purchases, sales, refinances in the office.
