Corporate Paralegal Duties: Participate as a team member and assist attorneys and paralegals in the corporate group. Works closely with the team to assist with the recovery, drafting and filing of regulatory documents. Develop a baseline knowledge of rules and regulations pertinent to the blue sky filings. Support other corporate practice areas and assist with special projects as needed. Prepares SEC and Blue Sky-related filings, including submitting Form ID applications, drafting and filing of Form D filings in Electronic Data Gathering, Analysis, and Retrieval (EDGAR) and Electronic Filing Depository (EFD). Maintains knowledge of up-to-date practices regarding Blue Sky laws and basic filing procedures. Ensures that all files and tracking charts are maintained within approved protocols for the practice group and seeks to improve workflow regarding storage and recall of materials Assists with corporate transactions, tracking and obtaining pre and post-closing documents and formalities to assure performance of obligations. Track, calendar and maintain deadline-driven documents. Assists in the drafting of by-laws, articles, certificates, amendments, resolutions, consents, minutes, stock transfers and ledgers for corporations, limited liability companies, limited partnerships and business trusts. Obtains certified copies of corporate documents, certificates of good standing and legal existence from state officials for corporate transactions or when otherwise requested. Ability to navigate electronic databases and document repositories. Provides assistance to corporate clients with corporate maintenance/governance, as necessary. Responsible for billing a minimum of 1600 hours of client-related projects and other credited work. Performs other work-related duties as assigned by the managers, supervisors, and coordinators for the corporate paralegal group. The candidate will have a bachelors degree. Will involve significant contact with lawyers and paralegals at the Firm and requires strong interpersonal and communication skills. Must be a demonstrated self-starter who is both highly organized and a team player. Must demonstrate the ability to maintain strict confidentiality of the firms internal and personnel affairs. Ability to interact effectively with all levels of personnel, including management and support staff. Ability to be a proactive self-starter, who understands the details within a much larger context. Ability to embrace new processes and incorporate new technology to meet client demands as they evolve. Must be flexible in order to respond quickly and positively to shifting demands and opportunities; ability to work under tight deadlines and handle multiple, detailed tasks. Must be team-oriented and able to share information, goals, opportunities, successes and failures with the appropriate parties. Ability to plan, prioritize, organize and carry out multiple related activities. Ability to work in a multi-office environment. Ability to influence at all levels of the organization. Ability to work effectively in a culturally and educationally diverse environment. Must pay attention to details and have the ability to follow up and follow through.
